Terms and Conditions

1. Scope

These Terms and Conditions (hereinafter "T&C") govern the contractual relationship between Aya Stern, based at Gustav-Merynk-Str. 13A, 82319 Starnberg, and her customers.

The current version of these T&C shall apply. Deviating conditions from customers that have not been accepted in writing by Aya Stern shall not become part of the contract, even if they are not expressly objected to in individual cases.

2. Subject Matter of the Contract

Aya Stern provides services for customers in the areas of coaching, consulting and implementation of solutions in (online) marketing, digital products and webinars. The exact description of services is set out in the individual offer, which becomes part of the contract.

3. Conclusion of Contract

(1) A contract between the parties may be concluded verbally or by telephone. The customer will then receive a confirmation of the contract content by email or in writing.

(2) A contract may be concluded online, by email or in writing. In this case, the customer receives an offer online, by email or in writing, which can be accepted within one week by written declaration, text form, verbally (by telephone or in person) or by conclusive conduct.

The receipt of the acceptance by Aya Stern is decisive.

4. Consulting

If consulting has been agreed upon, Aya Stern does not owe any success beyond the key points mentioned in the offer, in particular not the achievement of specific metrics.

5. Design of Websites, Ads, Social Media Profiles and Other Online Sales Channels

(1) If the creation or optimization of ads, landing pages or the setup of online sales channels has been agreed upon, Aya Stern will send the customer the draft or access data upon completion. The work is deemed accepted if the customer does not refuse acceptance in writing or by email within one week, stating at least one defect.

(2) Aya Stern grants the customer the exclusive and unrestricted right of use to the advertising materials designed by her from the moment of their creation.

6. Contract Duration

(1) Unless otherwise agreed, the contract is concluded for a specific term. Ordinary termination during the term is excluded.

(2) The contract is automatically extended by one further month unless terminated by either party in writing or by email at least four weeks before expiry.

(3) The right to terminate without notice for good cause remains unaffected.

7. Prices and Payments

(1) The agreed price for Aya Stern's services is set out in the offer. Unless otherwise stated, prices are net prices plus VAT.

(2) If a price for a monthly term has been agreed, it shall be paid in monthly installments in advance. If the contract is extended pursuant to section 4(2), the monthly installments remain unchanged.

(3) The customer receives a digital invoice for the monthly installment. Invoice amounts are due and payable immediately.

(4) If a performance-based fee has been agreed, Aya Stern prepares a monthly statement in digital form. The amounts are due and payable immediately.

(5) If Aya Stern does not have access to the information required for billing the performance-based fee, the customer provides this information without additional request. Unless otherwise agreed, this information is to be provided for the first time one month after the start of the contract and thereafter on a monthly basis.

8. Cooperation, Provided Materials

(1) The customer is obliged to support Aya Stern in providing the services to the extent required by providing information, photos and content. If Aya Stern is prevented from providing services due to data not submitted or not submitted in time, Aya Stern's claim to remuneration remains unaffected.

(2) The customer warrants that all materials provided (in particular texts, photos, trademarks) are free from third-party rights. The customer shall indemnify Aya Stern against any claims by third parties arising from the use of these materials. This also includes the costs of legal defense against such claims.

9. Liability

(1) Aya Stern is liable in all cases of contractual and non-contractual liability for intent and gross negligence in accordance with statutory provisions for damages or reimbursement of wasted expenditure.

(2) In all other cases, Aya Stern is only liable for breach of a material contractual obligation whose fulfillment is essential for the proper execution of the contract and on whose compliance the customer may regularly rely (so-called cardinal obligation), limited to compensation for foreseeable and typical damage. In all other cases, Aya Stern's liability is excluded, subject to the provision in paragraph (3).

(3) Aya Stern's liability for damages resulting from injury to life, body or health and under the Product Liability Act remains unaffected by the above limitations and exclusions of liability.

(4) The same applies to vicarious agents and representatives.

10. Data Protection

Our privacy policy governs the collection, use and protection of your personal data. By using our services, you agree to the terms of our privacy policy.

11. Intellectual Property

All content published on our website, including texts, images, graphics and software, is protected by copyright and remains the property of Aya Stern or third parties. The use, reproduction or distribution of this content without express permission is prohibited.

12. Changes to the T&C

Aya Stern reserves the right to change these T&C at any time. Updated T&C take effect upon publication on the website. It is your responsibility to check for updates regularly.

13. Applicable Law and Jurisdiction

These T&C are subject to German law. In the event of disputes, the court in Starnberg shall have jurisdiction.
